Software licence and terms of service

1. The parties

These terms are between Langwieder Global Solutions (the licensor, "LGS") and the client company named in the order form (the licensee).

2. What is licensed

LGS grants the licensee a non-exclusive, non-transferable right to use the OIP Growth Engine software for its own growth programme, for the seats and period in the order form. The OIP methodology, the software, its rules, scoring and content remain the property and confidential know-how of LGS.

3. Fees

The licensee pays a one-off access fee and a maintenance fee each year (or each quarter or month, if the order form says so), plus VAT where it applies. Maintenance covers hosting, security updates, methodology updates and support under the service level agreement.

4. Expiry and renewal

If maintenance is not renewed, the workspace becomes read only after a grace period of 30 days, and may be locked after that. The licensee can export its own data at any time while the workspace is readable.

5. Confidentiality

Each user accepts the confidentiality notice before seeing the detailed model. The licensee may not copy, reverse engineer, resell or share the methodology or the software outside its organisation.

6. Data

The licensee owns the data it enters. LGS processes it only to provide the service, under the data processing agreement. Client data is not used to train AI models.

7. AI features

AI outputs are drafts for review by a person. The engine never changes a score, a light or a deal stage without a user accepting it.

8. Liability

Standard limitations to be completed by counsel (cap on liability, exclusions, indemnities).

9. Law and disputes

Governing law and jurisdiction to be confirmed by counsel (for example, the laws of the Emirate of Dubai and the federal laws of the UAE).
